The terms governing use of the platform.

Plain-language version: by using cloverera.com, the Manager Gap Index, the Clover ERA platform, or the ERA personal app, you agree to these terms. If you don't agree, don't use the services. We try to keep them short. Where we can't, we explain why.

Section 01

Acceptance and eligibility

By accessing or using any Clover ERA service, you agree to be bound by these Terms. If you are using the services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must be at least 18 years old, or the age of majority in your jurisdiction, and have legal capacity to enter into a binding contract.

The services

Clover ERA Inc. provides workforce measurement and intervention software, including:

We may add, modify, or discontinue features. Material changes that affect paying customers will be communicated by email with reasonable notice.

Section 03

Your account

To use the platform, you must create an account with accurate information. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorised access.

You may not share your account credentials, transfer your account to another person without our written consent, or use someone else's account.

Section 04

Payment and trials

The platform is offered on a per-team subscription basis. Current pricing is published at cloverera.com/pricing and consists of five tiers (Single Team at $246/month, 5 Teams at $1,042/month, 10 Teams at $1,750/month, 25 Teams at $3,750/month, 26+ Teams at custom pricing).

Free trial

Every paid tier includes a 21-day free trial. You may cancel at any time during the trial without charge. If you do not cancel, you will be charged the tier price at the end of the trial.

Billing and renewals

Subscriptions are billed monthly or annually as selected at signup. Subscriptions automatically renew unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial periods.

Refunds

Beyond the 21-day free trial, we offer refunds at our discretion for service issues. Email contact@cloverera.com with the relevant details.

Taxes

Prices are exclusive of applicable taxes (sales tax, VAT, GST). We collect and remit taxes where required.

You agree not to:

Section 06

Intellectual property

All content, features, and functionality of the services — including but not limited to text, code, graphics, logos, the CLOVER framework, the Manager Gap Index methodology, the worksheet library, and the cohort cost model — are the exclusive property of Clover ERA Inc. or its licensors and are protected by copyright, trademark, and other applicable laws.

You retain ownership of any data you provide to the platform (your assessment responses, your team's data, communications). You grant Clover ERA a limited licence to use that data to operate and improve the services, subject to the Privacy Policy.

The published research (the Silent Degradation Index, methodology papers) is licensed under terms specified on each publication. Cohort findings are typically published under attribution-style licences; check the specific publication.

Section 07

Privacy

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. The architectural anonymity commitments described there are binding on us.

Section 08

Warranties and liability

Plain-language summary. We work hard to keep the platform running and accurate, but we cannot promise it is perfect. To the extent the law allows, our liability is limited.

The services are provided "as is" and "as available." We do not warrant that the services will be uninterrupted, error-free, or that they will meet your specific requirements. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

To the maximum extent permitted by law, Clover ERA's aggregate liability for any claim arising out of or relating to these Terms or the services shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms limits liability that cannot be limited by applicable law (for example, liability for gross negligence, wilful misconduct, or fraud).

Section 09

Termination

You may cancel your account at any time through the platform or by emailing contact@cloverera.com. We may terminate or suspend your account if you breach these Terms, fail to pay, or if continued provision of the service would expose us to legal or regulatory risk.

On termination: your access to the platform ends, your account data is retained per the schedule in the Privacy Policy, and surviving provisions of these Terms (intellectual property, warranties, liability, dispute resolution) continue in force.

Section 10

Disputes and governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

For US users

Disputes will be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association. You waive the right to participate in a class action. Either party may seek injunctive relief in court for intellectual property infringement.

For EU and UK users

You retain the right to bring claims in the courts of your country of residence. Mandatory consumer protections in your jurisdiction apply.

Section 11

Changes to these terms

We update these Terms as the platform evolves. Material changes that affect paying customers will be communicated by email at least 30 days before they take effect, with the option to cancel before the change takes effect. The "Effective" date at the top of this page reflects the most recent revision.
